[yocto-ab] YP Advisory Board vote: new membership rights, rules, & obligations

That’s terrific. Thank you.

I think we could provisionally approve the document, and finalize the decision when all members have had time to review with their legal teams. But it would allow Intel to move forward, and we could replace the document later if there were issues.

I will see if I can get a response on Monday.

FYI, it was the Linux Foundation who updated the document, I did not update it. I’ve just been working with them to get it updated so that I can get Intel’s new membership through and at the last second was told the AB needed to approve it.

There is nothing wrong with wanting to have your legal departments review the doc, even if you are not signing the new doc yourselves because if you choose to upgrade your memberships in the future, you will also need the updated version and it should be the same updated version. This is not just for Intel, we just happen to be the catalyst that made us aware of our project’s unprepared situation since the AB recently changed our membership options. I had no idea that document existed until my legal department asked me what it was, as it is referenced in the membership contract.

The question is how quickly can you have your legal departments approve the document so that we don’t lose gaining the extra $55K in membership funding from Intel. By EOD Monday? All of us in the project would appreciate any efforts to close this so that YP can be more adequately funded in 2017.

Thanks,

Just to be very clear, this document has been in play since the very beginning of the project. The only changes are to the language to match the customs we have been using for 6 years that weren’t established yet in 2010.

You can not assume everyone have been around since the creation of the project and have that historical knowledge to tap into in these matters.

This document is NOT the contract that each company signed in order to become part of the project. This document declares how the project runs itself.

Basically LF set us up with two legal documents. One is the contract, which all of us need to go through legal to get signed. The other is this roles & responsibilities document, which states how the project is run and is controlled by the Advisory Board. They are separate so we can make changes to the latter document and update it without having to revise everyone’s contracts.
Since this is a legal document, I had to send it to the appropriate party within MV.

So to state again – there are no rights or responsibilities changing. The document is being updated to use the term “Advisory Board” instead of “Steering Group” and things like that.
It wont matter at the end of the day if all the Gold members approve it. I am doing what I need to do to keep my Employer informed.
Thanks for the additional details, this is helpful.

Hi all – Tracey has spent a lot of time revising the “rights, rules, and obligations” document that applies to the Yocto Project. The changes are mostly to bring it up to date, as she describes below, and to account for the new Platinum level, which Intel needs in order to sign up at that level.

We need a vote *today* on this so we can get the paperwork through. I have talked to some of you individually already. Please review and let me know of any concerns. Both the old and new one are attached.
There will be a delayed response from MV as I am having our Legal department review the document. I don't recall discussing the changing for the our "Rights" as being part of redefining the Membership levels. I will need to pay more attention in the meeting.

thanks

Tracey’s note:

The Linux Foundation would like us to review and approve the attached document.
I’ve included the original document as well so that you can see the changes made were to correctly reference Yocto Project naming conventions.

You are being asked to review and approve “Yocto rights rules and obligations 20161215.pdf”.
